LOCAL SEARCH SYSTEM™ TERMS OF SERVICE

These Terms of Service (“Agreement”) govern all services provided by Local Search System™ (“Company,” “we,” “us”) to the client (“Client,” “you”).

By purchasing, approving a demo, submitting payment, or using any service, you agree to these terms.

1. Services Overview

Local Search System™ provides website design, hosting, search optimization, and related marketing services under structured plans, including but not limited to Starter System™ and Growth System™.

Services and features are described on the pricing page and may be updated or modified at any time.

2. Free Demo Policy

A demo website may be provided at no cost and with no obligation.

All demo websites:

  • Remain the sole property of Local Search System™
  • May be modified, reused, reassigned, or removed at any time
  • Are not transferred to the Client unless full payment is received

Approval of a demo constitutes intent to proceed with paid services.

3. Payment Terms

The setup fee and first month of service are due upfront before any final build work begins.

No work beyond the demo stage will proceed until payment is received.

Monthly service:

  • Automatically renews every 30 days from the initial payment date
  • Is billed in advance
  • Continues until canceled

Failure to pay:

  • 7 days past due: service may be suspended
  • 30 days past due: all website data may be permanently deleted

No refunds are issued for active billing periods once charged.

4. Chargebacks & Payment Disputes

By submitting payment, Client agrees:

  • Not to initiate chargebacks for services rendered, delivered, or made accessible
  • That demo approval and/or site access constitutes delivery of service

In the event of a chargeback:

  • Services may be immediately suspended or terminated
  • Client forfeits access to all deliverables
  • Company reserves the right to pursue collection, legal remedies, and associated fees

5. Scope of Work

Each plan includes up to 6 pages.

  • Clients may add unlimited pages on their own at no charge
  • Additional pages built by Local Search System™ are billed at $50 per page

Scope is limited to features listed at time of purchase. Additional work outside scope is billable.

6. 7-Day Money Back Guarantee

Applies to the initial setup fee only.

  • Must be requested within 7 days of project completion
  • Does not apply to monthly services
  • Does not apply once substantial work or revisions have been completed beyond initial delivery

7. Ownership & Intellectual Property

Client retains ownership of:

  • Domain name
  • Content they provide

Local Search System™ retains ownership of:

  • Platform systems
  • Design frameworks
  • Code structure
  • Optimization strategies

No transfer of platform or system ownership is granted.

8. Client Access & Responsibility

Clients are provided full editing access.

Local Search System™ is not responsible for any changes made by Client or third parties, including:

  • Deletions
  • Structural edits
  • Code changes
  • Integration issues

Damage caused by such actions may be permanent and unrecoverable.

9. Restoration & Rebuilds

If content is lost due to client-side actions:

  • Rebuild services are available at a per-page fee
  • Rebuilt content will be similar but not guaranteed to match original versions

10. Support Limitations

Included support covers:

  • Platform-related issues
  • Basic guidance

Support does NOT include:

  • Rebuilding deleted content
  • Fixing client-caused damage without charge
  • Custom development outside plan scope

11. No Guarantee of Results

Local Search System™ does not guarantee:

  • Rankings
  • Leads
  • Traffic
  • Revenue

Results depend on external factors beyond Company control.

12. Third-Party Platforms

Services may rely on third-party platforms including search engines and social media.

We are not responsible for:

  • Account suspensions
  • Policy changes
  • Algorithm updates
  • Platform outages

13. AI & Content Disclaimer

Services may include AI-assisted content, schema, or automation.

Client acknowledges:

  • AI-generated or optimized content may not always be perfect or complete
  • Client is responsible for reviewing and approving all content

Local Search System™ is not liable for inaccuracies, omissions, or interpretations.

14. Acceptable Use

Client agrees not to use services for:

  • Illegal activities
  • Fraudulent or misleading content
  • Spam or abusive practices

Violation may result in immediate termination.

15. Data & Loss Disclaimer

Local Search System™ does not guarantee data retention.

Client acknowledges:

  • Data may be lost due to non-payment, user actions, or system events
  • Backups are not guaranteed

16. Termination

Client may easily cancel anytime.

  • No refunds for current billing period
  • Service remains active until billing cycle ends

Company may terminate for:

  • Non-payment
  • Violations
  • Abuse

17. Limitation of Liability

To the fullest extent permitted by law:

Local Search System™ shall not be liable for:

  • Lost profits
  • Business interruption
  • Data loss
  • Indirect or consequential damages

Total liability is limited to the amount paid by Client in the previous 6 months.

18. Indemnification

Client agrees to indemnify and hold harmless Local Search System™ from any claims arising from:

  • Client content
  • Business practices
  • Use of services

19. Portfolio Rights

Company may use completed projects for marketing and portfolio purposes.

20. Modifications

Terms may be updated at any time.

Continued use constitutes acceptance.

21. Governing Law

This Agreement is governed by the laws of the State of North Carolina.

All disputes shall be handled in New Hanover County, North Carolina.
